Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Ledgique website, waitlist or signup flows, and the Ledgique software and services that help grocers run online storefronts (typically at a yourbusiness.ledgique.com subdomain tied to the business name), catalog and inventory, orders, pickup, and local delivery (collectively, the “Services”). By using the Services, you agree to these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

The Services

Ledgique provides a cloud-based commerce operating layer for merchants. Features and limits depend on your plan and product configuration. We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable, or immediately where necessary for security, legal compliance, or material abuse.

Accounts and eligibility

You must provide accurate registration information and keep it current. You are responsible for activity under your credentials and for safeguarding passwords and devices. You must be legally able to enter contracts in your jurisdiction and, where you operate a business, be authorized to bind that business. We may refuse or close accounts that violate these Terms or present unacceptable risk.

SMS and communications

If you provide a mobile number, you agree that we may send transactional messages related to account access, security, and service operations. Where we present additional disclosures (for example, message frequency, opt-out instructions such as STOP, HELP for help, and carrier rate notices), those disclosures are incorporated into these Terms by reference. You agree not to misuse messaging channels or provide numbers without appropriate consent.

Merchant content and shopper data

You retain rights to content you upload to the Services (such as catalog text, images, and business configuration). You grant Ledgique a worldwide, non-exclusive license to host, use, reproduce, and display such content solely to provide and improve the Services. You are responsible for obtaining rights to your content and for your own privacy notices and compliance when you collect information from your customers. You must not upload unlawful content or content that infringes others’ rights.

Acceptable use

You agree not to:

• Use the Services in violation of law or third-party rights.
• Attempt to gain unauthorized access to the Services, other accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Use the Services to distribute malware, conduct phishing, or send spam.
• Reverse engineer the Services except where applicable law expressly permits.
• Use automated means to scrape the marketing site or Services where prohibited by us.
• Misrepresent identity, affiliation, or the origin of communications.

Fees, trials, and taxes

Paid plans, promotional pricing, and currency are described on our website (including amounts in Indian Rupees (INR) where shown). Fees are exclusive of applicable taxes unless stated otherwise. You authorize us and our payment processors to charge your chosen payment method for amounts due. If you cancel before a renewal date in accordance with our billing interface and notices, you generally will not be charged for subsequent periods; amounts already paid may be non-refundable except where required by law or expressly stated on our pricing page. We may change fees with reasonable advance notice.

Availability and support

We strive for reliable operation but do not guarantee uninterrupted or error-free service. Support channels and response expectations may vary by plan, as described in product materials (for example, priority onboarding or faster support for certain tiers).

Third-party services

The Services may integrate with or link to third-party tools (such as payment gateways or carriers). Those third parties’ terms and privacy practices govern their services. Ledgique is not responsible for third-party services you elect to use.

Ledgique intellectual property

Ledgique and its licensors own the Services, including software, branding, documentation, and aggregated analytics that do not identify you. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

Confidentiality

Each party may receive non-public information from the other. The recipient will use reasonable care to protect such information and use it only for purposes related to the Services, subject to standard exceptions (for example, information that becomes public without breach).

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LEDGIQUE OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LEDGIQUE’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO LEDGIQUE FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE THOUSAND INDIAN RUPEES (INR 1,000), IF YOU HAVE NOT HAD FEES APPLICABLE IN THAT PERIOD. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Indemnity

You will defend and indemnify Ledgique and its affiliates, officers, directors, employees, and agents against any third-party claims, damages, liabilities, and costs (including reasonable attorneys’ fees) arising from your content, your use of the Services in breach of these Terms, or your violation of law or third-party rights.

Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms, non-payment where applicable, legal risk, or extended inactivity as permitted by law. Upon termination, your right to access the Services ceases; provisions that by their nature should survive (including disclaimers, limitations, indemnity, governing law, and dispute resolution) will survive.

Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict of law principles, except where mandatory consumer protections in your country require otherwise. Courts located in India will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services, subject to any non-waivable rights you may have to bring claims in your local courts.

General

These Terms constitute the entire agreement between you and Ledgique regarding the Services and supersede prior understandings on the same subject. If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
